Terms and Conditions
Effective date: April, 2026. These Terms and Conditions (“Terms”) govern access to and use of aethergrid-technologies.com (the “Site”) and set out the legal relationship between you and AETHERGRID TECHNOLOGIES - FZCO (“Aethergrid”, “we”, “us”, “our”), a free zone company incorporated in the United Arab Emirates with its registered address at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates. They are intended to align with applicable United Arab Emirates legislation and the nature of our licensed activities. These Terms do not replace legal advice. For regulated, binding, or project-specific rights and obligations, you must rely on signed contracts, proposals, statements of work, or other written instruments expressly agreed between the parties.
1. Important disclaimer
All information on the Site is provided for general business and marketing purposes only. Nothing on the Site constitutes legal, tax, accounting, investment, or regulated technical or security certification advice, and nothing creates a professional-client, fiduciary, or agency relationship unless and until a separate written engagement is executed with identified scope, fees, and signatories. You are solely responsible for how you use the Site and for obtaining independent professional advice where appropriate. To the maximum extent permitted by applicable UAE law, the Site and its content are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, except where such exclusions are prohibited.
2. Governing law and dispute resolution
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without prejudice to mandatory provisions of UAE Federal law that cannot be contractually waived. Subject to any exclusive jurisdiction, arbitration, or dispute-resolution clause agreed in a services contract, you and we submit to the non-exclusive jurisdiction of the courts of Dubai, United Arab Emirates, for disputes arising out of or relating to the Site or these Terms, unless a competent free zone court or arbitral tribunal is expressly designated in writing for a particular matter. Nothing in these Terms restricts any right you may have to pursue remedies before another competent forum where UAE law so requires.
3. Definitions
In these Terms: “User” or “you” means any natural or legal person accessing the Site; “Services” means professional services we may offer under licence (including IT consulting, advertising research, digital market analysis, and related strategic support) as described on the Site or in a contract; “Content” means text, graphics, logos, layouts, downloads, and other materials on the Site.
4. Eligibility, capacity, and business use
The Site and our Services are primarily directed at businesses, organisations, and adults with full legal capacity. By using the Site you represent that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher) and, where you act on behalf of an organisation, that you are duly authorised to bind that organisation to these Terms for browsing and enquiry purposes. We may refuse service or access where we reasonably believe authority, age, or eligibility requirements are not met.
5. Children and minors
We do not market our Services to children, and we do not seek to contract with minors. The Site is not intended as a destination for users under 18. If you are a parent or guardian and believe a minor has submitted personal data to us in connection with the Site, please contact us at aethergridtech@proton.me so we can take appropriate steps consistent with our Privacy Policy and applicable UAE personal data law. We do not knowingly use the Site to collect personal data from children without appropriate legal authority.
6. UAE commercial, consumer, and electronic transactions context
Depending on the nature of your interaction with us, provisions of UAE Federal legislation relating to commercial transactions, electronic transactions and records, and consumer and business protection (each as amended from time to time) may apply in addition to these Terms. Where mandatory UAE rules on unfair terms, good faith, or electronic contracting apply, they prevail over any conflicting non-mandatory wording on the Site. Communications sent through the Site or by email may constitute data messages under UAE electronic transactions rules where the law recognises them as such; binding contractual formation for paid Services nevertheless requires our express written acceptance (for example through a signed order form or countersigned proposal).
7. Relationship to separate service agreements
Any statement of work, master services agreement, proposal, order form, or engagement letter that we sign with you (collectively, “Service Agreements”) governs the commercial delivery of Services and, in the event of inconsistency, prevails over these Terms for that engagement to the extent the Service Agreement expressly addresses the same subject matter (including fees, deliverables, liability caps, confidentiality, intellectual property, and dispute resolution). If no Service Agreement exists, your use of the Site remains subject to these Terms only.
8. Licensed activities and scope
Aethergrid is licensed to carry out, among other activities, Information Technology Consultants and Advertising Researches & Consultancies within our free zone registration. Descriptions of “digital market analysis”, “strategic growth support”, and related offerings on the Site are illustrative of how we support clients; they are not an exhaustive catalogue of regulated permissions and do not guarantee availability of any specific deliverable until confirmed in writing. We do not provide regulated financial services, legal representation before courts, or government filings unless explicitly agreed in a Service Agreement that describes such scope.
9. Intellectual property
Unless otherwise indicated, Content, trade names, logos, and layout are owned by Aethergrid or its licensors and are protected under applicable UAE and international intellectual property laws. You may view and print reasonable portions of the Site for internal business use. You must not copy, modify, distribute, sell, licence, scrape, reverse engineer, or create derivative works from the Site or Content for commercial purposes without our prior written consent. Pre-existing third-party materials remain subject to their respective owners.
10. Acceptable use and UAE cybercrime / telecommunications compliance
You agree to use the Site only for lawful purposes and in a manner that respects the rights of others. Without limitation, you must not: attempt unauthorised access to our systems, accounts, or data; introduce viruses, malware, or harmful code; interfere with the integrity or performance of the Site; harvest data in bulk without permission; impersonate Aethergrid or another person; use the Site to transmit defamatory, discriminatory, harassing, or obscene content; or infringe intellectual property or privacy rights. We may investigate suspected misuse and cooperate with competent UAE authorities where required under applicable law, including legislation concerning cybercrimes, misuse of information technology, telecommunications, and data. We may suspend or terminate access where we reasonably believe these rules are breached.
11. Third-party links and materials
The Site may reference or link to third-party websites, tools, or datasets for convenience. We do not control and are not responsible for third-party content, availability, or practices. Your use of third-party resources is at your own risk and subject to their terms and privacy notices.
12. Fees, invoicing, and UAE VAT
Unless we agree otherwise in writing, no fee is due solely for browsing the Site. Fees for Services, expenses, currency, invoicing details, and taxes will be set out in a Service Agreement or written quote. Where Value Added Tax or other taxes apply under UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax (as amended) or subsequent tax legislation, we will invoice or document VAT in line with our tax registration status at the time of supply. You are responsible for any withholding or local taxes your jurisdiction imposes, unless UAE law requires otherwise.
13. Anti-bribery, anti-corruption, AML/CFT, and sanctions
We are committed to conducting business ethically and in compliance with applicable UAE anti-corruption and anti-money laundering / counter-terrorist financing (AML/CFT) legislation and implementing regulations, to the extent they apply to our activities and role in a transaction. You warrant that you will not offer or accept improper advantages in connection with the Site or our Services and that you will not use the Site or Services for unlawful purposes, including breach of applicable sanctions or export control laws. We may decline or exit an engagement where we reasonably believe continuation would violate such laws or our internal risk policies.
14. Confidentiality (summary)
Information we exchange during commercial discussions or under a Service Agreement may be confidential. General confidentiality obligations, exceptions, and return/destruction of materials are set out in the relevant Service Agreement or non-disclosure instrument. Use of the Site alone does not oblige us to treat unsolicited ideas or proposals as confidential unless we have expressly agreed in writing beforehand.
15. Limitation of liability and indemnity
To the fullest extent permitted by UAE law, Aethergrid and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from use of or inability to use the Site or reliance on Content, even if advised of the possibility of such damages. Our aggregate liability arising out of these Terms and use of the Site (other than under a Service Agreement) shall, where the law permits, be limited to one hundred United Arab Emirates dirhams (AED 100) or the minimum amount permitted by applicable mandatory law, whichever is greater. For Services performed under a Service Agreement, liability is governed exclusively by that agreement. You agree to indemnify and hold harmless Aethergrid against third-party claims, damages, and reasonable legal costs arising from your misuse of the Site, your violation of these Terms, or your infringement of third-party rights, except to the extent caused by our wilful misconduct or gross negligence as finally determined under UAE law.
16. Force majeure
We are not liable for delay or failure to perform obligations under these Terms where caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labour disputes, failures of public telecommunications or power, cyber-attacks not reasonably preventable, pandemics, or changes in law or regulatory requirements, in each case subject to UAE principles on force majeure and impossibility of performance where applicable.
17. Severability, waiver, and assignment
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign your rights under these Terms without our prior written consent; we may assign our rights to an affiliate or in connection with a merger, acquisition, or sale of assets, provided your rights are not materially diminished.
18. Privacy, cookies, and marketing
Processing of personal data through the Site or in the course of enquiries is described in our Privacy Policy, prepared with reference to the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and related implementing decisions. Non-essential cookies and similar technologies are used only in line with your choices via the cookie banner. Marketing communications, if any, will be sent in compliance with applicable UAE requirements and your consent or soft opt-in where the law allows.
19. Notices and complaints
Notices relating to these Terms or the Site may be sent to aethergridtech@proton.me or to our registered address above. We will endeavour to acknowledge substantive complaints within a reasonable period. Nothing in this section limits your right to refer a matter to a competent UAE regulatory or judicial authority where the law grants you that right.
20. Changes to these Terms
We may update these Terms to reflect changes in our business, the Site, or legal requirements in the UAE. The “Effective date” at the top will be revised when material changes are made. Continued use of the Site after publication of updated Terms constitutes your acceptance of the revised version, except where applicable law requires a different procedure (for example, separate consent for certain processing activities, which is handled under our Privacy Policy).
